Build an international paper aircraft carrier to meet the challenges of China's entry into the WTO (I)
first of all, we will discuss the new development models of today's paper packaging, such as joint venture, merger, reorganization, joint venture, innovation and so on. This mode first occurred abroad, then penetrated into domestic large enterprises from abroad, and then developed into running in between domestic enterprises and enterprises outside the enterprise. However, not many enterprises have been involved for a long time, which has a great impact and far-reaching significance
it is worth noting that no matter M & A, reorganization or joint venture cooperation, the time must be ripe, consensual, and not forced. Although there are few examples in this issue, they are all representative
since the 1990s, the paper industry has set off a strong wave of mergers and acquisitions worldwide, and major paper companies around the world have merged and reorganized. The catalogue for the guidance of foreign investment industries, which was implemented on April 1st, 2002, listed the construction of chemical wood pulp and raw material forest bases and the production of some high-end paper and paperboard in the catalogue of industries that encouraged foreign investment, which directly triggered an upsurge of large-scale foreign investment in China's paper industry. Whether willing or not, China's paper industry has been pushed to the forefront of the global M & a boom
after witnessing the real M & A events around us and reviewing the M & a process of the corrugated box packaging industry in Europe, will anyone still think that the fate of being merged and acquired is far from us
by 2005, China's annual consumption of paper and paperboard will reach 50million tons, including 15million tons of corrugated paper market consumption. At that time, there will be at least 1million tons of high-strength corrugated base paper gap, and the prospect of carton board market is very bright. Such good news is no different from a cardiotonic for international carton manufacturers. If we don't expand investment now, when will we wait
At the end of 2002, Changzhou Changfeng Packaging Co., Ltd. was merged by tenawang Co., Ltd., which is headquartered in Tokyo, Japan. Changzhou Changfeng Packaging Co., Ltd. was founded in 1952, and later developed into a large state-owned enterprise holding, which is one of the top carton manufacturers in Jiangsu Province and even the country in terms of technical capacity and production scale. In 2001, Changzhou Changfeng Packaging Co., Ltd. also held a grand production ceremony for the newly introduced Italian agratti AAA extra heavy 2.5-meter seven layer corrugated board production line. Just a year later, Changzhou Changfeng was merged by Japan tenawang packaging due to poor managementlet's take a look at the merger process of European corrugated packaging industry. Then the merger and acquisition of Changzhou Changfeng by Japan tenawang can only be regarded as the prelude to the merger and acquisition of foreign paper giants in China after China's accession to the WTO
the merger and reorganization process of kappa in Europe
kappa is one of the three largest corrugated packaging manufacturers in Europe. Jinan Shijin is well-known that 85 factories are located in 17 countries in Europe to produce 4billion square meters of corrugated packaging. Kappa, consisting of more than 30 companies, is a leading paper material packaging company in Europe, with a production capacity of 3.2 million tons of paper and paperboard and 2.6 million tons of corrugated paper/paperboard. In 2002, the output reached 320 million euros, and at present, there are 17000 employees all over the world
because most paper and corrugated paper manufacturers want to become providers of integrated paper packaging solutions, which will make their core business become paper and corrugated paper production and sales, as well as packaging production and sales. Such a large-scale enterprise has developed rapidly in the past 10 years, becoming the kappa we see now. It can be said that large-scale and international mergers and acquisitions have made kappa today
kappa in the merger:
from 1997 to 2001, the top five corrugated board manufacturers in Europe increased their market share from 33% to 48%
the result of the integration is:
97 factories provide customers with Pan European packaging solutions and corrugated and cardboard packaging. The recycling volume of waste paper in China is 49.94 million tons
solutions
at the same time, the consolidation of the world's corrugated industry will continue: the existing non integrated corrugated board manufacturers account for 33% of the demand for cardboard, which will shrink; Further consolidation in the corrugated market (the market share of the top 3 will grow to 60%) will reduce the market share of non integrated manufacturers to 15%. Further consolidation will bring further specialization, and more companies will enter the wave of global consolidation
compared with the direct merger and acquisition of tenawang in Japan, the international paper giants are more willing to choose to expand the enterprise scale through expansion, association, merger, acquisition, holding or direct investment, so as to achieve the purpose of rapidly and comprehensively occupying the Chinese market
if all the expansion projects reach production capacity event 1: Japan Paper Company and Japan pulp commercial company reach an agreement with China Zhejiang Jingxing Paper Group on the joint venture production of corrugated paper, and the three companies will invest billions of yen to build a factory with an annual production capacity of about 150000 tons. Japan Paper Company and Japan pulp commercial company will each contribute 20%, and Jingxing Paper Group will contribute 60%. The corrugated base paper produced by the joint venture will be provided to local corrugated paper processing companies to meet the growing demand of China's carton packaging market. So far, Japan Paper Company and Japan pulp commercial company have invested 5.5% respectively in Zhejiang Jingxing Paper Group
Event 2: following the United Company, Tokai pulp company and Mitsubishi Corporation will jointly produce corrugated base paper in Shanghai with Zhenglong company, a large paper-making enterprise in Taiwan, China Province, to meet the growing demand of China's carton packaging market. The joint venture is called "zhonglong society", with a registered capital of 80million US dollars and a total investment of about 150million US dollars. It will be put into operation in 2004, and its annual production capacity will reach 300000 tons
event 3: the construction of a joint venture project with a total investment of 1billion yuan and an annual output of 100000 tons of white cardboard, jointly built by Mr. Zheng Wenyuan, a Taiwanese businessman, Hunan No. 1 cardboard factory and Shaoyang economic and Technological Investment Co., Ltd., has begun, and the third phase of the project is expected to be completed in December 2004
event 4: the Central South Group Company of the United States has started the construction of Nine Dragons Paper (Taicang) Co., Ltd. in Taicang City, Jiangsu Province, with a total design and construction scale of 3.5 million tons/year and a total investment of 1.2 billion US dollars (the overall project is understood to be carried out in four phases, with an investment of 1million tons/year of cardboard and paperboard production capacity every two years). The first phase of the project, a 500000 tons/year high-end paperboard production line, will be completed and put into operation by the end of this year
event 5: Hong Kong's Levin group has started the construction of Jiangsu Levin Paper Co., Ltd. in Changshu, with a total design and construction scale of 1.3 million tons/year and a total investment of 410million US dollars. The first phase of the project is 550000 tons/year. Two high-end Kraft linerboard and coated white paperboard production lines will be completed and put into operation at the end of this year and the third quarter of next year, respectively
Event 6: the Tongda Group Company in Hong Kong has started the construction of Jiangsu Wangda Paper Co., Ltd. in Changzhou, with a total design and construction scale of 1.2 million tons/year and a total investment of 300 million US dollars. The first phase of the 200000 tons/year high-end industrial packaging cardboard production line will be completed and put into operation in the first half of next year
the total new paperboard production capacity of the above six wholly-owned, joint venture pulp and paper projects under construction and planned to be built will exceed 7million tons/year, and the total amount of foreign investment will exceed 2billion US dollars
of course, the joint venture of foreign large-scale carton packaging enterprises is a wise choice, and at least it can continue to survive. But whether there is a survival crisis for those small and medium-sized carton packaging enterprises that have not been favored by international paper giants, and whether those state-owned private large and medium-sized enterprises, if they do not seize the opportunity at the same time, unite to integrate advantageous resources, and face the white hot competition of foreign large-scale paper portfolio groups, There will also be the danger of being eliminated in a few years
